On July 5-6, in cooperation with the Georgian Bar Association (GBA), CLDP hosted a Working Meeting on Georgia’s Law on Entrepreneurs. The event brought together 45 GBA committee heads and other practitioners to discuss, with one of the law’s authors, innovations in the law related to limited liability, share capital, subscribed capital, and paid-in capital, management and representative rights and responsibilities, the business judgment rule, and withdrawal or expulsion of a partner, including as evaluated in cases in Georgia, Germany, and the United States. Properly formulated and functioning corporate structures contribute to economic development by stimulating employment, increasing competition, attracting investment, and increasing transparency and predictability.
